JOB OVERVIEW

The Associate Corporate Counsel will support the Company’s day-to-day business operations including matters related to contracts, legal research, regulatory compliance, and other general legal matters as may be assigned.


KEY RESPONSIBILITIES 

  • Reviews, negotiates, and drafts a high volume of commercial contracts critical to the Company’s business operations, including insurance carrier appointment contracts, confidentiality agreements, SaaS agreements, and other vendor and partner agreements, and arranges for their proper execution.
  • Provides fast, practical, business-oriented legal and commercial contract advice directly to business stakeholders.
  • Identifies and minimizes business risks and proposes practical legal solutions to meet business needs.
  • Assists in regulatory and insurance licensing compliance by reviewing and interpreting regulations, statutes, and policies related to regulatory affairs.
  • Prepares subpoena responses; investigates and responds to Departments of Insurance inquiries; reports E&O claim and potential claims to and coordinates any applicable responses with insurance carriers.
  • Performs research and analysis as assigned concerning the Company’s business operations and transactions, which may include broader corporate matters (e.g., real estate, employment, corporate governance, IP, M&A, etc.) as well as various other legal issues that may arise from time to time.
  • Identifies opportunities for templates, and drafts and coordinates template creation/updates.
  • Performs other duties, responsibilities, and projects as assigned by the General Counsel or her designee.
Requirements

  • Must have demonstrated experience drafting, reviewing, and negotiating contracts.
  • Ability to multi-task and manage a large volume of concurrent, often competing, priorities.
  • Self-motivated and proactive with a high level of drive, energy, persistence, and initiative with the ability to prioritize and handle multiple tasks in a high-volume work environment.
  • Must have excellent communication skills—both written and verbal—to effectively negotiate contracts, balance internal and external interests, and achieve successful outcomes.
  • Ability to clearly discuss contract recommendations with the business leadership and resolve legal and business problems related to contracts and regulatory compliance.
  • Display exceptional interpersonal skills and ability to effectively and diplomatically communicate and collaborate with colleagues at all levels of the organization across departments as well as within the Legal Department.
  • Have strong organizational and project management skills.
  • Must demonstrate strong, thoughtful, and creative analytical and problem-solving skills.
  • Willingness and ability to adhere to all principles of confidentiality and data security.
  • Ability to work independently and on a team.
  • Must value operating in a collaborative work environment.

EDUCATION AND QUALIFICATIONS

  • Active license to practice law and admission to at least 1 state bar maintained in good standing required.
  • Minimum 2 years’ experience practicing law in a law firm setting required.
  • Regulatory compliance experience (e.g., insurance compliance, HIPAA, CPRA, GDPR, ERISA, etc.) preferred.
  • Experience in performing diverse duties substantially similar to the essential duties and responsibilities of this position.
  • Insurance industry experience preferred.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Relation, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is presented within this posting. 

 

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
