Associate Corporate Counsel

Armstrong Transport Group, LLC (“Armstrong”) is a third-party logistics provider headquartered in Charlotte, NC with Satellite offices in Chicago, IL, Atlanta, GA and Boise, ID. Armstrong also has 160 independent agent offices throughout the US and Canada. In addition to its US Division, Armstrong also has a Canadian entity, Armstrong Forward Logistics, Inc. Armstrong has traditionally focused on over the road transport (FTL/LTL), but recently expanded its focus on cross-border freight, international work, and intermodal moves as well as managed transport.  


Responsibilities:

  1. Contract Drafting and Negotiation: 
  • Draft, review, and negotiate complex commercial agreements such as Shipper/Broker, Carrier Agent, and Vendor (Saas) agreements. 
  • Collaborate with business units to ensure that contracts align with company policies and comply with relevant legal requirements. 
  • Manage contract lifecycles in Armstrong’s CLM and otherwise assist with Vendor Management. 
  • Draft demand, cease and desist and denial letters to parties.  
  • Draft legal communication and otherwise assist General Counsel with all litigation management. 

2. Regulatory Compliance: 

  • Stay abreast of laws and regulations affecting the logistics industry and advise on compliance matters. 
  • Develop and implement compliance policies and training programs for employees involved in logistics operations. 
  • Assist with the procurement of insurance policies company wide. 

3. Dispute Resolution: 

  • Handle and resolve legal disputes related to logistics operations, including claims, litigation, and arbitration. 
  • Collaborate with General Counsel and/or external legal counsel when necessary and represent the company's interests in legal proceedings. 

4. Risk Management: 

  • As directed by the General Counsel, communicates legal advice to management on risk avoidance and risk management initiatives. 
  • Assists with investigations following emergency responses and catastrophic claims.   

5. Corporate Governance: 

  • Assist in matters related to corporate governance, including compliance with internal policies, procedures, and regulatory requirements. 
  • Support the legal team in corporate transactions and strategic initiatives. 

6. Legal Research and Analysis: 

  • Conduct legal research to stay informed about industry trends, best practices, and changes in relevant laws. 
  • Analyze and communicate the potential impact of legal developments on the company's 3PL operations. 
Requirements

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school. 
  • Admitted to practice law in the relevant jurisdiction. 
  • 2-3 years of experience practicing law with a focus on logistics, transportation, or related fields. 
  • An understanding of 3PL operations, supply chain management, and logistics industry regulations. 
  • Excellent contract drafting and negotiation skills. 
  • Ability to work collaboratively with cross-functional teams and communicate legal concepts to non-legal stakeholders. 
  • Strong analytical and problem-solving skills.
