Contract Attorney

Department: Internal Operations
Direct Report: Executive Vice President – Operations

Location: Westfield, IN, USA (Optional: Remote)
Employment Type: Full-Time


We are seeking a skilled and motivated contracts attorney. This position is responsible for drafting, reviewing, negotiating, and managing a wide variety of contracts and legal agreements.


RESPONSIBILITIES

  • Draft and update contract templates for sales and procurement activities
    • Mutual NDA for customers and suppliers
    • Master Service Agreements for customers and suppliers
    • Project-Specific Contracts
    • Standard Terms & Conditions
    • Codes of Conduct for customers and suppliers
  • Drafting and reviewing contracts between Storage Solutions and both customers and suppliers
    • Ensure terms, conditions, and payment schedules mitigate risk to Storage Solutions
    • Review detailed language for all deliverables between supplier, Storage Solutions, and customers
    • Develop and update Master Service Agreements with both suppliers and customers where appropriate
  • Negotiate project-specific contract language and deliverables both internally and externally with suppliers and customers
  • Identify and assess potential legal risks in contract reviews, providing strategic advice to mitigate risks
  • Manage the contract life-cycle, including tracking key milestones, renewals, and ensuring compliance with contract terms
  • Collaborate with other departments to understand contractual needs and provide legal support as needed
  • Develop contract management policies, procedures, and best practices
  • Provide training and guidance to internal teams on contract-related matters, including contract interpretation, negotiation      strategies, and compliance requirements

KNOWLEDGE & SKILL REQUIREMENTS

  • Law Degree (JD) from a US-accredited Law School
  • Must be a member in good standing of a state bar
  • Bachelor’s Degree
  • 5+ years experience in contract law and management
  • Strong understanding of contract law, commercial law, and related legal principles
  • Excellent drafting and analytical skills
  • Experienced in contract review and negotiations
  • Highly detail oriented, ability to manage to critical deadlines
  • Ability to multitask effectively to prioritize and execute tasks 
  • Strong written and oral communication skills: In person meetings, email, phone calls, video conferences
  • Strong technical aptitude – highly knowledgeable of legal standards and requirements
  • Experience at working both independently and in a team-oriented, collaborative environment is essential
  • Technically competent and proficient with various software programs:  Excel, Word, Outlook, Smartsheet, etc.

WORK CONDITIONS

  • Office position – 8:00-5:00 EST daily hours
  • After-hours and weekend work will be required periodically
