Reporting to the Chief Legal Officer, the Director, Transactions & Contracts Counsel will serve as a key member of the legal team and will work across a broad range of business functions supporting contracting needs, including finance, clinical operations, quality, research, and development. The Director, Transactions & Contracts Counsel should be a collaborative team player willing to work on a wide variety of projects with a willingness to roll up their sleeves with the ability to be strategic as well as tactical depending on business needs. In addition, they will be responsible for our contracts management system, working with other members of the legal and finance teams. This role offers an opportunity to grow as the company grows as part of a collaborative and skilled team.


 This role is based in our Waltham, MA headquarters. Our office-based employees are required to work in the office three (3) days a week. 


Responsibilities (including, but not limited to):

  

  • Be part of team responsible for general contracting and contracts administration for the company and work department-wide to effectively and timely manage contracting;
  • Prepare, review, negotiate, and manage the execution of a broad array of agreements and documents, including confidentiality agreements, clinical trial agreements, sponsored research agreements, informed consent forms, material transfer agreements, CDMO, supply and service agreements, statements of work, quality agreements and related agreements; 
  • Provide legal and business support for research, development, quality, and clinical operations;
  • Effectively and efficiently manages outside counsel on a variety of matters, as applicable;
  • Provide additional legal support as needed.
Requirements
  • Juris Doctor from a national law school and strong academic credentials;
  • Admission to and in good standing with the bar of at least one state;
  • A minimum of 5-10 years of legal experience required, including meaningful experience providing legal and business advice, preferably in a company with late-stage clinical or commercial products;
  • Experience working in a team of legal professionals;
  • Significant experience in contract negotiator; ability to understand and analyze legal contractual terms, accurately identify and assess the risks in a business arrangement, make decisions with respect to contract provisions that are aligned with the company’s risk tolerance and contracting standards, and offer a practical, business-minded approach to contract negotiation;
  • A motivated self-starter with a strong sense of accountability and ownership;
  • Personable collaborator who can work successfully and build relationships with internal stakeholders and external parties to achieve business goals while managing risk;
  • Flexible and adaptable to shifting deadlines and priorities; able to effectively prioritize and manage a large volume of contracts and other assignments;
  • Analytical thinker with a track record of creatively synthesizing new solutions to old problems;
  • Strong organizational and administrative skills with developed organizational capabilities; and the ability to manage several simultaneous projects under tight timelines.

  • Proficient with Microsoft Office suite (i.e., Word, PowerPoint, Excel, Outlook, SharePoint, etc.)
  • Ability to travel up to 5%
  • The salary range for this position is commensurate with experience
