Purpose of Position 

The Portfolio General Counsel (“PGC”), reporting to the Chief Operating Officer, is responsible for all legal related to the operations of the real estate portfolio and corporate matters. The PGC shall work closely with the General Counsel, executives, external counsel, and various departments of the Company on real estate operations, transactions and litigation matters.   

Requirements

 

Job Duties/Responsibilities 

Leasing 

  • Provide training and input to the Asset Management team for LOI negotiations. 
  • Lead or oversee the drafting and review of commercial leases, ensuring we optimize the balance between favorable terms and time to consummate a lease through solid relationship management skills with all parties involved including tenant counsel and providing asset management with creative solutions or strategies to mitigate potential risks identified. 
  • Review existing landlord lease forms and make updates as needed as well as create new versions or substitute language for new product types or unique circumstances. 
  • Actively manage external leasing counsel for overflow or specialized leasing matters. 
  • Oversee various brokerage contracts in local markets and ensure that the terms comply with local, state, and federal laws.
  • Ensure all leasing activities comply with various governing authorities. 

Property Operations 

  • Oversee the management of drafting and reviewing various real estate related contracts, including service agreements, and construction contracts. 
  • Identify or advise property teams on potential legal risks and develop strategies to mitigate these risks. 
  • Oversee the demand and default processes of tenants or other related parties to the assets. 
  • Manage various issues either internally or through external counsel for matters related to the assets such as eminent domains, updating declarations or CC&R’s, seeking variances or zoning requests, insurance claims, and any other asset-related compliance or disputes that may arise. 

General  

  • Represent the company in legal proceedings and negotiations. 
  • Maintain accurate records of all legal related documents. 
  • Recommend, align, and train various property teams in the formulation of legal policy, procedure, and processes for operations. 
  • Manage the involvement and ensure quality output of outside counsel. 
  • Develop and manage legal expense budgets for specific initiatives commensurate with the growth of the Company including the operations arm of the legal department.  
  • Contribute to risk mitigation analysis and strategy associated with the Company’s business operations. 

Leadership 

  • Supervise and mentor the Senior Paralegal and all future internal or external support for portfolio legal. 
  • Develop and implement key performance metrics for this area of the legal department and outside counsel. 
  • Align legal objectives and resources with Company strategy. 
  • Create succession plans for the operations arm of the legal department, including the PGC role and Senior Paralegal. 
  • Reinforce company culture within the legal department.

Corporate 

  • Provide counsel to the COO and HR on various employee related issues. 
  • Oversight of corporate compliance and risk management. 
  • Backup for General Counsel on Real Estate Transactions. 
  • Additional tasks and projects as assigned. 

 

Job Experience Qualifications 

  • J.D. degree from an accredited law school 
  • Bar Admission: Licensed to practice law in the relevant jurisdiction 
  • Extensive Legal Experience: 7+ combined years in real estate law, including transactional and litigation experience 
  • In-House Counsel Experience: Previous experience as in-house counsel, preferably in the real estate sector 
  • Proven track record in negotiating and drafting complex real estate contracts, agreements, and leases
  • Deep understanding of real estate regulations and compliance laws 
  • Excellent written and verbal communication skills for effective interactions with stakeholders  
  • Proven track record for recommending and implementing improvements to practices and policies 
  • Ability to lead and manage a legal team to high performance 
  • High level of accuracy and attention to detail in legal documentation 
  • Creative problem-solver  

Remote but CA preferred. 

Salary Description
$250,000.00 - $400,000.00
