Job Description:
First Stop Health is seeking an experienced, innovative and detail-oriented Commercial Legal Counsel who will drive the success of our contracting and legal initiatives. We are a fast-growing private company in one of the most dynamic areas of healthcare. As such, we are seeking a creative counsel who can help manage our fast-growing core business and deal with unique issues as we expand.
As the Commercial Legal Counsel, you will effectively manage the First Stop Health contracting process. You will collaborate closely with cross-functional teams (sales, client services, marketing, technology) to efficiently negotiate and execute client, vendor and consulting contracts, improve First Stop Health processes, and perform ongoing due diligence and compliance reviews. You will also assist with other legal matters that arise in a fast-growing company as needed, including compliance and employment agreements.
Responsibilities:
Review, draft and negotiate a variety of standard commercial contracts, including but not limited to, confidentiality agreements, consulting and independent contractor agreements, services agreements, business associate agreements, and reseller agreements.
- Organize, update and manage internal contract templates.
- Communicate with non-legal departments to provide training and materials regarding contract review process.
- Work with outside counsel as needed to address corporate and compliance issues.
- Provide research, legal analysis, and guidance on various legal issues for all internal departments.
- Maintain ongoing knowledge of healthcare and privacy rules and regulations.
- Maintain and improve processes by following standards, policies and procedures, as well as recommending new approaches.
Requirements:
- Bachelor’s degree required
- Juris Doctorate required
- Licensed to practice law in at least one U.S. jurisdiction
- Minimum 3-5 years of experience within a law firm or as an in-house counsel
- Healthcare industry experience preferred, especially in telemedicine, advocacy or wellness
- Exceptional verbal and written communication skills
- Excellent organizational, interpersonal, quantitative and analytical skills?
- Ability to work independently in a deadline-oriented environment
- Advanced level computer skills in Microsoft Office
- Familiarity with Salesforce CRM system preferred
In the first 30 days you will:
- Familiarize yourself with company contract templates, policies, procedures and applicable business tools
- Review overall contracting process from start to finish
- Establish a relationship with key business partners and external counsel
In the first 90 days you will:
- Prepare, send and negotiate client contracts.
- Review and negotiate incoming vendor agreement requests.
- Prepare, send and negotiate consulting and independent contractor agreements.
- Research and advise on legal issues as they arise.
