We are seeking a skilled and highly organized professional to fill a combined role that integrates Contract Specialist, Paralegal, and Privacy Specialist responsibilities. This unique position requires expertise in drafting, reviewing, and managing contracts, providing legal support, and ensuring compliance with privacy laws and regulations. The ideal candidate will possess a strong understanding of contract law, legal procedures, and privacy regulations, while also having the ability to work with various departments to mitigate risks and maintain compliance.

Key Responsibilities:
1.Contract Management and Negotiation:
- Draft, review, and negotiate contracts (e.g., NDAs, vendor agreements, service contracts, licensing agreements) to ensure compliance with company policies, legal standards, and business objectives.
- Collaborate with internal teams, including procurement, legal, and compliance, to ensure contracts meet operational needs while minimizing legal and financial risks.
- Manage the contract lifecycle, including tracking expiration dates, renewals, and amendments.
- Maintain and update contract templates in accordance with evolving laws and business practices.
- Assist in dispute resolution and handle contract-related issues, including identifying and mitigating risks
2. Paralegal Support:
- Provide legal research support related to contracts, privacy regulations, and general business operations.
- Prepare legal documents, including memoranda, briefs, and correspondence, for attorney review.
- Assist in compliance audits.
- Coordinate communication with clients, vendors, and external legal counsel as necessary.
3. Privacy Compliance and Risk Management:
- Oversee and ensure compliance with data protection and privacy laws, such as, CCPA, and other applicable regulations.
- Draft and review privacy-related documents, including privacy policies, data processing agreements, and consent forms.
- Advise on privacy-related contractual clauses in vendor agreements and other contracts to ensure alignment with applicable data protection laws.
- Perform privacy risk assessments and audits to ensure that privacy and security measures are being adhered to.
- Serve as a point of contact for privacy-related inquiries and concerns across the organization.
- Ensure that privacy-related training and awareness programs are implemented for employees, contractors, and third parties.
- Monitor emerging privacy laws and regulations, providing recommendations to adapt company policies and procedures as needed.
4. Collaboration and Reporting:
- Collaborate and provide privacy guidance and related risk management advice to all groups across the company, including our Marketing, HR, Sales, Customer Success, Product, Engineering and Security teams.
- Work closely with cross-functional teams (e.g., legal, IT, compliance, HR) to address contract, privacy, and legal concerns in business operations.
- Report on privacy compliance and contract management activities to senior management.
- Assist with internal and external audits, providing necessary documentation and ensuring compliance with privacy and contract requirements.
- Track and manage privacy-related incidents and breaches, ensuring that appropriate actions are taken in compliance with applicable laws and company policies.
Education:
- Associate's or Bachelor’s degree in Business Administration, Paralegal Studies, Privacy Law, or a related field.
- Paralegal certification is preferred.
- Additional certifications in privacy (e.g., CIPP/US, CIPP/E, CIPM) are highly desirable.
Experience:
Must Have:
- A background supporting contract negotiation for software companies. Preference for experiences in SaaS or Paas firms.
- 3+ years of experience in contract management, legal support, or privacy compliance.
- Strong understanding of contract law, privacy laws (e.g., GDPR, CCPA), and general legal processes.
- Experience working with legal, compliance, and business teams to address contract and privacy issues.
- Experience in drafting and negotiating contracts and privacy agreements with the ability to balance understanding between Revenue, Booking, Invoice, and Commissions impacts.
- Knowledge of privacy impact assessments and handling data breaches.
- Experience working with outside legal counsel.
Nice to Have:
- A background in the AdTech and MarTech industry and good knowledge of Internet, software technologies or data is essential.
- Experience in start-up environment.
Skills:
- Strong written and verbal communication skills, with the ability to articulate legal and privacy matters to non-legal professionals.
- Excellent organizational skills with the ability to manage multiple priorities and deadlines.
- High level of attention to detail and accuracy.
- Proficiency in Microsoft Office Suite as well as Google Office Suite, contract management software, and privacy management tools.
- Ability to work independently and as part of a team in a fast-paced environment.
- Strong problem-solving skills and the ability to navigate complex legal and privacy issues.
- Monitor and self-study on case law, legislation and other legal audience relevant to AdTech and MarTech industries.
