We are seeking an experienced, and highly motivated General Counsel to provide proactive, business-centered legal guidance across the organization.  


The General Counsel will direct, oversee, and participate in contract negotiation activities, legal matters, employment law, corporate governance, workers compensation claims, risk, insurance and other areas of compliance on behalf of the company. The General Counsel is responsible for monitoring and providing strategic and tactical advice on all employment law and other business issues to ensure multi-state compliance. This role also serves as a strategic advisor to the Owner, CEO, and Executive Team on legal matters that impact business operations, risk exposure, and growth strategy. 


This role is critical in shaping the legal foundation of the company and working cross-functionally with other team members to combine legal expertise and business strategy to drive legal and compliance best practices in an evolving business landscape.


Duties & Responsibilities:

  • Establishes FlexTrades legal strategy to mitigate risk but allows the business to function and achieve organizational growth goals. 
  • Leads the process to track employment and business law changes that impact FlexTrades and works closely with functional teams to execute required changes to ensure ongoing compliance.
  • Reviews and maintains ownership of all legal documentation to ensure compliance and version control.  
  • Approves policies developed within various sub-functions and departments that have legal or compliance implications.
  • Develops and delivers internal training for sales, operations, and HR on contracts, compliance, safety obligations, and employment law best practices.
  • Provides hands-on counsel to all levels of executive staff.
  • Leads and represents FlexTrades in contract negotiations with prospective clients, clients and vendors, negotiating terms favorable to FlexTrades.
  • Maintains an audit file for each contract which will include original contract, all correspondence, changes/deviations, amendments, clarifications, payment schedules.
  • Supports HR with investigations, disciplinary actions, claims response, and employee relations strategy.
  • Identifies and makes recommendations to adjust operational processes that could result in legal risk. 
  • Reviews and responds on behalf of FlexTrades to claims or matters related to EEOC, ADA, DOL, etc.
  • Consults on business insurance claims as needed, including: workers compensation claims, E&L claims, Cyber claims, etc.
  • Partners with Safety and Risk to ensure compliance with OSHA requirements, develop risk mitigation strategies, and manage high exposure workers’ compensation claims.
  • Ensures ongoing compliance with multi-state business and staffing regulations including licensing, registration, and wage notice requirements.
  • Maintains corporate records, entity management, and compliance filings across multiple states.
  • Partners with VP of Finance to represent FlexTrades in escalated collections matters.
  • Maintains relationship with external legal counsel and determines when to consult external counsel on various legal matters related to FlexTrades business to ensure timely, cost-effective resolution.
  • Leverages industry relationships as appropriate to understand market best practices and applies appropriate best practices to FlexTrades’ business.

  • Performs all other duties as assigned.
Requirements

Minimum Required Skills & Experience:

  • 7+ years of experience working in a legal/General Counsel role in the staffing industry.
  • JD degree from an ABA accredited law school.
  • Active license to practice law and in good standing with a U.S. state bar. 
  • Legal experience in the staffing industry, working with internal employees, field personnel, and clients.
  • Expertise in employment law, labor regulations, and contract negotiations.
  • Proven experience managing multi-state legal compliance for a large, diverse workforce.
  • Demonstrated ability to successfully negotiate client contracts with minimal deviations from standard terms.
  • Strong attention to detail.
  • Exceptional communication, negotiation, and drafting skills.
  • Ability to balance legal risk with business goals and act as a strategic advisor.
  • Proven ability to work independently, collaborating with other team members as needed to drive results in a fast-paced environment.

Salary Description
$225,000 - $275,000 + Bonus
