Role Overview

Intentsify is seeking a Director of Corporate Counsel to serve as a senior individual contributor across all legal matters for the business. Reporting directly to the CFO, this role will own day-to-day legal operations — spanning data privacy compliance, commercial contracting, and M&A support — without direct reports. The ideal candidate is a self-sufficient, business-minded attorney who can operate with minimal oversight, move quickly, and deliver clear guidance in a high-growth, data-driven environment.

Given the nature of Intentsify's data-driven platform, deep expertise in data privacy law is a non-negotiable requirement for this role.


Key Responsibilities

Data Privacy & Compliance

• Serve as the company's subject matter expert on data privacy law, including GDPR, CCPA/CPRA, and emerging U.S. state privacy regulations.

• Design, implement, and maintain the company's privacy program, policies, and internal controls.

• Advise product and engineering teams on privacy-by-design principles and data handling practices.

• Manage regulatory inquiries, data subject requests, and breach response protocols.

Data & Commercial Contracts

• Draft, review, and negotiate customer, vendor, and partner agreements, including data licensing agreements, DPAs, and NDAs.

• Build and maintain a scalable contract management process and standard template library for data agreements.

• Partner closely with sales and partnerships teams to provide timely, pragmatic guidance that accelerates deal closure.

M&A & Corporate Transactions

• Support M&A activities including legal due diligence, deal structuring, and post-close integration.

• Manage corporate governance matters including Board documentation, equity administration, and entity maintenance.

• Advise on financing transactions and investor-related legal matters in partnership with external counsel.

General Legal

• Oversee employment law matters including offer letters, equity agreements, and HR policy compliance.

• Manage outside counsel relationships, optimizing for cost-effectiveness and quality across matters.

• Proactively identify and mitigate legal and regulatory risk across all business functions.

Requirements

Requirements

• J.D. from an accredited law school and active bar membership in good standing.

• 7+ years of legal experience, with significant time in-house at a technology or data company.

• Deep, hands-on expertise in data privacy law — including GDPR, CCPA/CPRA, and data processing agreements — is required.

• Demonstrated experience negotiating and closing complex data licensing and commercial contracts.

• Direct experience supporting M&A transactions, including due diligence and deal execution.

• Proven ability to operate independently, manage a high volume of concurrent matters, and deliver actionable guidance without direct support staff.

• Strong communicator who can translate complex legal issues for non-legal stakeholders.


Preferred Qualifications

• Experience in adtech, intent data, or digital marketing technology.

• CIPP/E, CIPP/US, or equivalent privacy certification.

• Familiarity with data licensing, data brokerage regulations, and programmatic advertising compliance.

• Bachelor's degree in a technical, business, or quantitative field in addition to J.D
