PRIMARY PURPOSE
This individual is responsible for providing Investor Support to Shareholders and assisting the Finance Manager and the accounting department in the completion of financial reports and duties. Performance of the duties requires excellent organization, attention to detail, communication, and customer service skills.
The following essential duties do not cover an all-inclusive list of work requirements. Individuals will perform other job-related duties as assigned, including work in other areas to cover absences or otherwise balance the workload.
ESSENTIAL FUNCTIONS
Shareholder Relations
1. Manage Shareholder Relations- respond to shareholder questions or concerns and assist with preparing address change requests, affidavits of loss, and transfer forms to be submitted to the stock transfer agent. Create and request periodic reports via the registrar and transfer agent portal.
2. Assist in preparation for the annual meeting of shareholders and work with registrar and transfer agent on the delivery of meeting documentation in a timely manner. Direct shareholders who wish to sell shares to market makers, and/or coordinate any periodic, board-approved share repurchase programs.
3. Medallion Guarantee Program – Administer program to assure all registrants are trained and assist with any issues concerning the program and monitor annual control logs.
4. Dividend Payments - Oversee the issuance of dividend payments from the bank to the holding company and from the holding company to the shareholders.
5. Dividend Declaration – Declare the annual dividend with Depository Trust Company (DTC), Computershare and the Financial Industry Regulatory Authority (FINRA).
Administration
6. Corporate Records – Ensure correspondent/internal bank documents are current and initiate updates when management changes occur for both Bank and Parent.
7. Record Retention – Ensure accounting records are retained/destroyed in accordance with the VBA retention schedule specifically for financial and accounts payable records.
8. Policies – Ensure all policies are approved/ratified on an annual basis in accordance with the policy schedule. Communicate with policy owners for timely update and submission of policies and provide board approved policies to appropriate personnel to be added/replaced on the intranet.
9. Establish New Board Members – Ensure the completion of all documents related to the establishment of a new board member and provide those documents to the State Corporation Commission.
Accounting
10. SEC Filings - Assist the Finance Manager in the completion of the quarterly 10-Q and the annual 10-K SEC filings.
11. NPB Grundy Condo Association - Maintain records for the NPB Grundy Condo Association including the minutes of the annual meeting, expenses incurred and applicable reimbursements.
12. Key Bank Personnel Report – Complete the Key Bank Personnel Report quarterly for call report/Regulation O requirements.
13. Related Interest Documentation - Coordinate the annual completion of the Related Interest Form for each board member for FR Y-6 requirements.
14. Accounting Duties – Assist with routine responsibilities of the Accounting Department as required.
Related Duties and Responsibilities
15. Regularly refresh knowledge of and familiarity with online, mobile, electronic, and traditional products and services. Regularly practice/rehearse customer conversation and engagement skills around the entire suite of New Peoples Bank products and services. Invite customer respect by demonstrating product and service knowledge and engaging customers around the benefits of using them.
16. Performs related duties and responsibilities as required and assigned.
EDUCATION / EXPERIENCE
Graduation from an accredited high school or general education degree (GED), with 1-3 years of clerical/administrative experience in a financial institution; or any equivalent combination of education, training, and experience which provides the required knowledge and abilities. Must successfully complete required training.
