About the Role
We are seeking a Commercial Counsel (or Senior Commercial Counsel) to join our growing legal team as the fifth team member supporting a fast-scaling technology-enabled pharmacy services company. This role will primarily focus on drafting, reviewing, and negotiating a wide range of commercial agreements and partnering closely with cross-functional teams to support business objectives while managing legal risk. Other responsibilities may include supporting special projects and strategic initiatives; assisting with M&A transactions; providing product counseling and legal guidance in connection with go-to-market initiatives; supporting legal operations processes and improvements; assisting with the creation and maintenance of legal playbooks and templates; and contributing to the continuous improvement of the legal function in a growing and fast-paced organization.
The ideal candidate is practical, business-minded, and comfortable working in a dynamic, remote first environment. Experience with data-driven products, privacy considerations, and healthcare technology is a strong plus.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including:
- Non-disclosure agreements
- Master services agreements
- SaaS and technology licensing agreements
- Consulting agreements
- Business associate agreements
- Vendor and supplier agreements
- Partnership, reseller, collaboration, and strategic alliance agreements
- Serve as a trusted legal partner to business stakeholders, including Sales, Product, Finance, Engineering, Compliance, and Operations
- Advise on contract structure, risk allocation, and negotiation strategy to support business goals
- Review and negotiate data-related contract provisions, including privacy, security, and data-use terms (experience with HIPAA-related provisions a plus)
- Escalate complex or high-risk issues appropriately and collaborate with other members of the legal team
- Help develop and improve contract templates, playbooks, and contracting processes
- Stay current on relevant legal and regulatory developments as well as industry trends affecting commercial transactions and NuvemRx’s business
Qualifications
- J.D. from an accredited law school
- Active bar membership in at least one U.S. jurisdiction, in good standing
- 4–7 years of experience negotiating and drafting commercial contracts with substantial time at a law firm or equivalent environment, where strong drafting skills were developed
- Strong negotiation, drafting, document management, and issue-spotting skills
- Ability to balance legal risk with practical business considerations
- Experience working cross-functionally with non-legal stakeholders
- Excellent written and verbal communication skills
- Comfortable operating in a fast-moving, start-up company environment, where processes may not always be fully defined, and independent judgment and practical problem-solving skills are critical
- Demonstrated ability to translate complex legal issues into actionable guidance for business stakeholders
Preferred Qualifications
- Experience advising on privacy related issues as they arise in connection with contracting or product development
- Familiarity with healthcare laws and regulations, including HIPAA, Anti-Kickback and FWA
- Experience in healthcare technology, life sciences, or regulated technology environments
- Prior law firm experience
- Experience working as part of a small and growing legal team
