Position Summary
Reporting to the Chief Legal Officer, the Senior Corporate Counsel oversees a broad range of corporate, regulatory, and commercial matters, including healthcare and pharmacy compliance, technology and data privacy, commercial contracting, vendor and customer relationships, and corporate governance. The Senior Corporate Counsel partners closely with business stakeholders to support growth initiatives, manage risk, ensure regulatory adherence, and deliver scalable legal solutions appropriate for a small to mid-sized, fast-growing organization.
We are seeking a Senior Corporate Counsel to serve as a trusted advisor across the organization, providing legal guidance on a wide range of matters with a focus on contract review, pharmacy operations, healthcare compliance, and regulatory compliance. This position plays a key role in supporting the legal team, ensuring alignment with organizational goals, operational excellence, and compliance standards.
Key Responsibilities
- Drafts, reviews, and negotiates a variety of contracts including commercial business arrangement, new business lines, some vendor agreement
- Reviews, drafts, and negotiates technology and software agreements with focus on IP
- Helps build scalable processes for legal review and contract management
- Provides legal counsel on healthcare, pharmacy, and regulatory issues (e.g., HIPAA, PBM relationships, state pharmacy board requirements)
- Monitors changes in laws and regulations that may impact the company and proactively updates policies as needed
- Collaborates with external counsel on matters, as required
- Supports corporate governance and internal policy development
Qualifications
- Education: J.D. from an accredited law school
- Licensure/Certification: Active bar membership (preferably Ohio)
- Experience:
- 6+ years of relevant legal experience (Required)
- Experience reviewing quality agreements and contract management (Required)
- Experience in pharmacy operations, healthcare regulations, and life sciences (Preferred)
- Knowledge, Skills, & Abilities:
- Knowledge of HIPAA, and other healthcare-related regulatory frameworks (Required)
- Knowledge of URAC, NAPB, and GMP regulatory standards (Preferred)
- Demonstrated ability to manage multiple complex matters simultaneously, remain highly organized, and operate effectively in a fast-paced environment with competing priorities and deadlines (Required)
- Strong ability to work efficiently within modern legal and business technology environments, including the Google Workspace and Microsoft Office ecosystems
- Excellent written, verbal, and interpersonal communication skills, with the ability to collaborate across functions and translate complex legal concepts into clear, practical guidance for non-legal stakeholders (Required)
- Ability to thrive in a dynamic, growth-oriented organization, with comfort building and improving legal processes, frameworks, and systems from the ground up (Required)
Work Environment
- Location: Hybrid
- Schedule: 8:00 A.M. to 5:00 P.M. Monday through Friday with night and weekend hours on occasion as determined by the needs of the business and cross-facility travel as needed
- Regular meetings with internal Warehouse, Pharmacy, Logistics, Safety, Compliance, Quality, Training, Operations Management, and HR teams. This role may also have meetings with external vendor and consultant partner representatives.

- Must be able to remain in a stationary position for extended periods while writing or reviewing documentation
- Must be able to work on a computer for the entire shift
- Must be able to attend virtual meetings with cross-functional teams
