Job Title: Commercial Attorney
Location: Washington, DC metropolitan area strongly preferred but will consider highly qualified remote candidates
POSITION SUMMARY:
CareMetx is seeking a Commercial Attorney with three (3) to five (5) years of experience reviewing, drafting, and negotiating a broad range of commercial agreements. Reporting to the Deputy General Counsel, this role will serve as a primary legal resource for contract matters arising across the organization. The successful candidate will be customer service-oriented, operate as a collaborative team player, and demonstrate a proven ability to drive negotiations to completion with clients, vendors, and business partners. Experience working with pharmaceutical manufacturers, health insurance companies, healthcare providers and technology vendors is a significant plus.
PRIMARY DUTIES AND RESPONSIBILITIES:
- Review, draft, and negotiate a wide variety of commercial agreements, including master services agreements, statements of work, agreements with SaaS and other information technology service providers, vendor agreements, non-disclosure agreements, business associate agreements, information security, privacy, and other regulatory and compliance addendums, and amendments.
- Manage end-to-end contract negotiations with clients, vendors, and other counterparties from initial redline through execution, independently driving transactions to timely completion.
- Advise internal stakeholders on contract terms, legal risks, and negotiation strategy, translating complex legal concepts into clear, actionable guidance for non-legal audiences.
- Collaborate closely with cross-functional partners in sales, finance, accounting, operations, IT, human resources, and other corporate functions to support business objectives and ensure alignment on contractual commitments.
- Maintain and improve contract templates, playbooks, and standard fallback positions to promote consistency and efficiency across the contracting function.
- Support contract lifecycle management, including tracking contract milestones, renewals, and compliance obligations.
- Identify and escalate legal and compliance issues, including those arising under healthcare and technology-specific regulatory frameworks, and coordinate with relevant subject matter experts as needed.
- Stay current on developments in contract law, healthcare regulations, and technology contracting best practices relevant to CareMetx’s business.
Qualifications
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
- Juris Doctor (JD) degree from an accredited law school and admission to the Bar in a U.S. jurisdiction.
- Minimum three (3) to five (5) years of experience reviewing, drafting, and negotiating commercial contracts, in-house or at a law firm.
- Experience in the healthcare and/or technology industries strongly preferred.
- Demonstrated experience independently managing and completing commercial negotiations with clients and vendors.
- Experience negotiating agreements with pharmaceutical manufacturers, health insurance companies, or healthcare providers is a plus.
MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
- Excellent analytical, drafting, and communication skills, with the ability to clearly convey legal concepts and risks to non-legal stakeholders across the organization.
- Self-motivated with a demonstrated ability to manage multiple concurrent matters, set priorities, and meet deadlines in a fast-paced environment with minimal supervision.
- Strong customer service orientation with a practical, business-friendly approach to legal problem-solving.
- Collaborative team player who works effectively with colleagues across sales, finance, accounting, operations, IT, human resources, and other corporate functions.
- High attention to detail and commitment to accuracy in contract drafting and review.
- Proficiency with contract management systems, AI tools and standard business productivity tools.
