Job Title: Senior Commercial Attorney

Location: Washington, DC metropolitan area strongly preferred but will consider highly qualified remote candidates


POSITION SUMMARY:

CareMetx is seeking a Senior Commercial Attorney with a minimum of seven (7) years of experience reviewing, drafting, and negotiating commercial contracts in the healthcare and/or technology industries. Reporting to the Deputy General Counsel, this role will serve as a senior legal resource for complex contract matters and regulatory compliance issues arising across the organization. The successful candidate will bring substantive knowledge of the healthcare regulatory environment, including fraud, waste, and abuse laws, the Stark Law, and data privacy frameworks, and will be expected to provide proactive, practical legal guidance that supports CareMetx’s business objectives. The ideal candidate is customer service-oriented, a collaborative team player, and highly skilled at driving sophisticated negotiations to completion with clients, vendors, and business partners.


PRIMARY DUTIES AND RESPONSIBILITIES:

  • Review, draft, and negotiate a wide variety of complex commercial agreements, including master services agreements, statements of work, agreements with SaaS and other information technology service providers, vendor agreements, non-disclosure agreements, business associate agreements, information security, privacy, and other regulatory and compliance addendums, and amendments.
  • Manage end-to-end contract negotiations with clients, vendors, and other counterparties from initial redline through execution, independently driving transactions to timely completion, including high-stakes or high-complexity matters.
  • Advise internal stakeholders and senior leadership on contract terms, legal risks, regulatory exposure, and negotiation strategy, translating complex legal and regulatory concepts into clear, actionable guidance for non-legal audiences.
  • Provide substantive guidance on healthcare regulatory matters relevant to CareMetx’s business, including federal and state fraud, waste, and abuse laws (e.g., Anti-Kickback Statute, False Claims Act), the Stark Law, pharmacy laws and regulations, and applicable data privacy and security requirements (e.g., HIPAA, state privacy laws).
  • Collaborate closely with cross-functional partners in sales, finance, accounting, operations, IT, human resources, and other corporate functions to support business objectives and ensure alignment on contractual and regulatory commitments.
  • Develop, maintain, and improve contract templates, playbooks, standard fallback positions, and compliance guidance to promote consistency, efficiency, and regulatory soundness across the contracting and legal functions.
  • Support and mentor junior legal staff, providing guidance on contract drafting, negotiation strategy, contract lifecycle management, and regulatory issues.

Qualifications

EXPERIENCE AND EDUCATIONAL REQUIREMENTS:

  • Juris Doctor (JD) degree from an accredited law school and admission to the Bar in a U.S. jurisdiction.
  • Minimum seven (7) years of experience reviewing, drafting, and negotiating commercial contracts, in-house or at a law firm.
  • Substantive experience in the healthcare industry, including pharmacy, with working knowledge of fraud, waste, and abuse laws (including the Anti-Kickback Statute and False Claims Act), the Stark Law, and HIPAA and other data privacy and security requirements.
  • Experience in the technology industry and familiarity with technology contracting (SaaS, data licensing, information security) strongly preferred.
  • Experience negotiating agreements with pharmaceutical manufacturers, health insurance companies, healthcare providers is strongly preferred.
  • Demonstrated experience independently managing and completing complex commercial negotiations with clients and vendors.
  • Working knowledge of pharmacy regulations applicable to specialty pharmacy, hub services, or patient support programs is a plus.

  • Excellent analytical, drafting, and communication skills, with the ability to clearly convey complex legal and regulatory concepts and risks to non-legal stakeholders across the organization.
  • Self-motivated with a demonstrated ability to independently manage a high volume of concurrent matters, set priorities, and meet deadlines in a fast-paced environment with minimal supervision.
  • Strong customer service orientation with a practical, business-friendly approach to legal problem-solving.
  • Collaborative team player who works effectively with colleagues across sales, finance, accounting, operations, IT, human resources, and other corporate functions.
  • Ability to provide strategic legal counsel and serve as a trusted advisor to business leadership on regulatory and contractual matters.
  • High attention to detail and commitment to accuracy in contract drafting, review, and regulatory analysis.
  • Proficiency with contract management systems, AI tools, and standard business productivity tools.
