Description

 We’re looking for a commercially sharp, technically elite, and highly dependable Corporate Tax Director to  join our leadership team. This role sits at the intersection of tax strategy, public company readiness, and enterprise growth within a development-stage, high-growth REIT in its first year as a publicly traded firm.  


You will serve as a trusted partner to senior leadership, responsible for building and leading a best-in-class tax function while ensuring the company’s tax operations, reporting, compliance, and planning capabilities meet the standards expected of a sophisticated public company.  


This role will work closely with Finance, Accounting, Legal, HR, Operations, and executive leadership, with the opportunity to build scalable systems, optimize enterprise value, and help shape the tax operating model during a transformative growth stage.  


This role is for someone who combines deep technical expertise with strong business judgment, thrives in complex environments, and can operate confidently in both strategic discussions and detailed execution. 


 Key Responsibilities  


Corporate Tax Leadership  

  • Lead all day-to-day corporate tax operations across the Company and affiliated entities. 
  • Build a scalable in-house tax function aligned with public company standards. 
  • Develop tax processes, internal controls, governance frameworks, and reporting disciplines. 
  • Serve as the primary advisor to leadership on tax matters impacting growth and operations. 
  • Manage external tax firms, consultants, and service providers. 


Tax Compliance & Reporting  

  • Oversee preparation, review, and filing of federal, state, local, and other required tax returns. 
  • Lead quarterly and annual income tax provision processes, including ASC 740. 
  • Support monthly close, quarterly reporting cycles, and year-end public company tax deliverables. 
  • Support external audits, tax-related financial statement disclosures, and SEC filing readiness. 
  • Coordinate tax inputs for Forms 10-Q, 10-K, and other public company reporting requirements, as applicable. 
  • Ensure timely, accurate, and organized compliance across multiple entities and jurisdictions. 


REIT Tax & Structuring  

  • Lead annual and quarterly REIT qualification testing across the asset, income, and distribution tests, with documentation sufficient to withstand external audit and IRS scrutiny
  • Manage REIT distribution planning, taxable income forecasting, and earnings & profits (E&P) computations to support dividend declarations and characterization (ordinary income, capital gain, return of capital). 
  • Oversee taxable REIT subsidiary (TRS) structuring, intercompany arrangements, and transfer pricing where applicable to maximize after-tax flexibility. 
  • Advise on REIT-impactful transactions – financings, leases, and strategic partnerships – to preserve REIT status and optimize tax outcomes. 

Indirect Tax: Sales, Use & Property Tax  

  • Manage state franchise and sales and use tax matters tied to procurement, construction, and operations. 
  • Oversee property tax matters involving infrastructure, facilities, and operating assets. 
  • Identify exemption opportunities, recovery strategies, and tax-saving efficiencies. 

Payroll, Employment & Contractor Tax  

  • Oversee payroll tax compliance and employment tax reporting. 
  • Manage worker classification matters involving employees, contractors, and consultants. 
  • Partner with HR on compensation-related tax matters, mobility, and workforce expansion. 

Customs, Duties & Trade Tax Planning  

  • Lead tax strategy related to imported equipment, customs duties, tariffs, and supply chain structuring. 
  • Support procurement and operations with tax-efficient sourcing decisions. 
  • Monitor trade developments affecting capital projects and equipment purchases. 

Strategic Tax Planning  

  • Develop proactive tax planning strategies to optimize cash taxes and enterprise value. 
  • Analyze tax implications of financings, leases, strategic partnerships, and capital investments.
  • Identify and maximize credits, abatements, incentives, and other tax advantages. 
  • Lead strategy on federal energy tax credits relevant to the Company’s project portfolio – including  production and investment tax credits, transferability, direct-pay elections, and beginning-of construction documentation – in partnership with project finance and development. 

Power & Infrastructure Sector Support  

  • Advise on tax matters unique to energy, utilities, and infrastructure businesses. 
  • Support planning tied to generation assets, depreciation strategies, and capital-intensive projects. 
  • Monitor changing legislation and incentives affecting the sector. 

Risk Management & Controls  

  • Manage audits, notices, tax controversies, and regulatory inquiries. 
  • Strengthen internal controls and support SOX-ready public company operations. 
  • Develop documentation, controls, and processes appropriate for a listed company environment. 
  • Support management and Audit Committee materials on tax matters, risks, and key developments as needed. 
  • Maintain a high standard of confidentiality, precision, and responsiveness 
Requirements

Qualifications  

  • Approximately 15 years of progressive corporate tax experience – seasoned enough to own the function but still hands-on. 
  • Bachelor’s degree in accounting, Finance, or related field. 
  • CPA strongly preferred. MST or JD is a plus. 
  • Deep expertise spanning federal tax, state and local tax, sales and use tax, tariffs and customs duties, tax credits and incentives, payroll tax, tax provision, and strategic planning. 
  • Strong understanding of public company tax reporting requirements, quarterly close cadence, and external audit processes. 
  • Experience supporting SEC reporting environments and cross-functional finance deadlines. 
  • Familiarity with SOX controls, governance expectations, and public company compliance standards. 
  • Experience presenting tax matters to senior leadership and, ideally, Audit Committee stakeholders. 
  • Experience operating in multi-entity and multi-jurisdiction environments. 
  • Excellent communication and leadership skills. 
  • Strong problem-solving ability with a practical, business-oriented mindset. 
  • Comfortable operating in a development-stage, high-growth public company environment – able to evolve processes, controls, and infrastructure. 

Preferred Background  

  • Combination of Big 4 / public accounting and in-house corporate tax leadership experience. 
  • Experience in power, energy, infrastructure, utilities, manufacturing, or industrial sectors. 
  • Direct REIT tax experience – including REIT qualification testing, distribution planning, and TRS management – is strongly preferred. 
  • Experience supporting newly public companies or high-growth environments. 
  • Familiarity with tax credits, abatements, and incentives relevant to Texas and large-scale development projects. 
  • Experience implementing or improving ERP / finance systems such as Oracle.
