Job Summary:
As part of a growing company, this attorney will report to the Chief Legal and Compliance officer and work closely with the Deputy General Counsel to support day-to-day legal needs of Seven Seas Water Group, with a primary focus on the AUC Group’s business and its decentralized water and wastewater treatment operations in Texas and elsewhere across the United States. The role centers on commercial and municipal contracting, public procurement, construction and project-delivery matters, and also supports claims and disputes, corporate governance, compliance and regulatory matters. The successful candidate will independently draft, negotiate, and manage complex agreements; partner directly with business, operations, project-development, and procurement leaders to structure practical solutions; and exercise sound, well-documented judgment, escalating issues when appropriate. The successful candidate will be organized and detail-oriented, with the energy, ownership, and flexibility to deliver high-quality work product in a fast-paced, deadline-driven environment.
Essential Duties and Responsibilities:
- Drafting, reviewing, and negotiating commercial water and wastewater agreements for AUC Group, including build-own-operate (BOO/BOOT), lease, Water-as-a-Service®, design-build, and operations and maintenance contracts, and maintaining/updating the related contract templates and playbooks.
- Supporting competitive procurement and business development, including reviewing and responding to municipal, wholesale and industrial RFPs, invitations to bid, and qualification packages, advising on public-bidding and award requirements, and preparing confidentiality, and pre-bid agreements.
- Providing regulatory and permitting support for AUC, including drinking-water and wastewater compliance under applicable laws and advising on permits, operating obligations, and municipality/agency interactions.
- Managing contract disputes, including drafting demand and notice letters, developing pre-litigation strategy, and coordinating and supervising outside counsel in litigation, arbitration, and mediation.
- Supporting corporate governance and entity maintenance, NDAs, personnel matters, company policies, and company-wide compliance, escalating to the Deputy General Counsel and CLCO as appropriate.
- Partnering directly with business, operations, procurement and project-development teams to apply practical risk-management techniques and provide proactive, solutions-oriented advice on emerging legal and contractual issues.
Qualification/Requirements:
- Strong business acumen, with the ability to translate legal analysis into practical, plain English, commercially sound advice.
- At least 6-9 years of legal experience, in-house or at a law firm, with a substantive focus on commercial contracting, construction, procurement, infrastructure, energy, or environmental matters.
- Demonstrated experience drafting and negotiating construction and/or long-term commercial agreements (e.g., EPC, design-build, O&M, BOO/BOOT, or municipal, industrial, and wholesale supply contracts) and familiarity with public procurement and competitive bidding; experience in the water, wastewater, utility, or infrastructure sectors is strongly preferred.
- Proficient in handling a large number of issues and competing priorities in a fast paced and rapidly evolving environment.
- Excellent communication skills (verbal and written) with the ability to interact effectively and professionally at all levels.
- All candidates for roles in the Legal department must successfully complete a conflict-of-interest clearance review prior to commencement of employment.
Education/Experience:
- Juris Doctorate from an accredited law school.
- Licensed to practice law and a member in good standing in Texas, or otherwise in compliance with the Texas in-house counsel registration rules.
