At Larson Financial Group, LLC, we are seeking an experienced and business-minded General Counsel Corporate Secretary to provide strategic legal guidance, oversee legal risk management, support company secretary duties, and contribute to the organization’s continued growth across its financial services, wealth management, investment, real estate, and related business operations. This role will serve as a trusted advisor to executive leadership and key stakeholders, helping the firm navigate complex legal, regulatory, contractual, corporate governance, employment, entity management, board governance, and operational matters with sound judgment and practical solutions.
The General Counsel will be responsible for leading the company’s legal function, supporting corporate secretary responsibilities, and providing proactive counsel on matters affecting the organization, its affiliated entities, clients, employees, advisors, and business partners. This individual will partner closely with executive leadership and business unit leaders to identify risk, support informed decision-making, maintain strong governance practices, and ensure the company’s legal interests are protected.
Responsibilities
- Serve as the primary legal advisor to executive leadership and senior management on corporate, regulatory, contractual, employment, governance, litigation, and business matters.
- Provide practical, business-focused legal guidance that supports strategic decision-making while appropriately managing risk.
- Draft, review, negotiate, and advise on a wide range of agreements, including vendor contracts, advisor agreements, employment-related agreements, confidentiality agreements, service agreements, real estate documents, letters of intent, acquisition documents, and other business contracts.
- Oversee corporate governance and corporate secretary matters, including entity management, board and committee support, ownership documentation, policies, resolutions, minutes, consents, and related records.
- Coordinate and support committee, ownership, and governance meetings, including preparing agendas, notices, materials, meeting minutes, written consents, resolutions, and follow-up action items.
- Maintain corporate records for the company and affiliated entities, including organizational documents, annual filings, officer and director records, ownership records, governance calendars, and entity compliance requirements.
- Assist with entity formation, qualification, dissolution, registered agent matters, annual reports, state filings, business licenses, and other corporate maintenance obligations.
- Partner with compliance leadership to support regulatory readiness and help ensure alignment with applicable securities, financial services, privacy, data protection, employment, and business regulations.
- Advise on employment law matters, including employee relations, policy development, restrictive covenants, investigations, separation agreements, and workplace compliance.
- Manage outside counsel relationships, including selecting, coordinating, and monitoring external legal resources to ensure cost-effective and timely support.
- Support mergers, acquisitions, business expansion, restructuring, and integration efforts by advising on legal due diligence, transaction documents, risk considerations, entity changes, approvals, and post-closing governance matters.
- Identify, evaluate, and communicate legal risks and recommended mitigation strategies to leadership and key stakeholders.
- Develop, maintain, and enhance legal policies, templates, procedures, contract management processes, governance practices, and corporate recordkeeping systems.
- Advise on privacy, cybersecurity, data governance, intellectual property, marketing, communications, and client-facing materials as needed.
- Handle or oversee dispute resolution, claims, litigation, subpoenas, regulatory inquiries, and other legal proceedings.
- Promote a culture of ethical decision-making, legal compliance, confidentiality, sound governance, and accountability throughout the organization
- Juris Doctor degree from an accredited law school required.
- Active license to practice law and in good standing with at least one U.S. state bar required.
- Minimum of 8–10 years of relevant legal experience, preferably with a combination of law firm and in-house counsel experience.
- Experience advising businesses in financial services, wealth management, investment advisory, insurance, real estate, banking, securities, or another highly regulated industry strongly preferred.
- Strong knowledge of corporate law, contract law, employment law, regulatory compliance, litigation management, and risk mitigation.
- Experience supporting executive leadership, business owners, or senior stakeholders with strategic legal advice.
- Demonstrated ability to balance legal risk with business objectives and provide clear, practical recommendations.
- Strong contract drafting, negotiation, analytical, and issue-spotting skills.
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly to non-legal audiences.
- High degree of professionalism, discretion, sound judgment, and integrity.
- Ability to manage multiple priorities, confidential matters, and time-sensitive projects in a fast-paced environment.
