RiskLens, Inc. is seeking a Commercial Counsel with a proven track record in commercial contract management to join its in-house legal team. Reporting to the Chief Financial Officer, the Commercial Counsel will provide in-house legal guidance and support across the company with a primary focus on supporting the contracts function of the Finance and Operations department.

Performance Profile

Within 30 days 

  • Learn current contracts process 
  • Review current templates and understand key terms negotiated to achieve current business goals
  • Support Corporate Paralegal on negotiation of commercial agreements 
  • Learn equity approvals process with Fin-Ops leadership team 
  • Build relationship foundation with business units, especially sales 


Within 60 days

  • Support sales team on contract negotiations 
  • Prepare slides for board approvals 
  • Prepare minutes for approval by Chief Financial Officer following meetings of the Board of Directors 


In six months

  • Strong understanding of the business and key metrics for success
  • Build strong collaboration across the business
  • Assist with cap table management
  • End to end ownership of contracts lifecycle 


What will you do? (Role and deliverables)

Be a world class business partner helping to define how RiskLens creates and protects value for our stakeholders and provide the resources and environment required to accomplish its goals. You will be a part of the Finance & Operations team that is helping support our business in our breakout year. You will:


  • Partner with the sales team to review, draft and negotiate customer facing commercial contracts, as well as manage the lifecycle for all of the company’s commercial agreements
  • Support finance on due diligence matters 
  • Work with various departments to develop, manage and improve legal processes 
  • Provide guidance across the business on use of contract templates and relevant legal issues
  • Manage outside counsel 
  • Provide Corporate Governance support including drafting minutes 
  • Support company equity plan including drafting and issuing option agreements and supporting finance with cap table management 
Requirements
  • 2-4 experience in drafting and negotiating contracts, preferably in the Software as a Service (SaaS) space
  • JD Required. Bar admission good standing in at least one state
  • Proven track record handling complex commercial contracting issues with tight deadlines
  • Ability to organize, manage and prioritize workload in a fast-paced environment while supporting multiple business units
  • Ability to work independently as well as with others in an incredibly collaborative environment 
  • Ability to be a true partner to the business – operate with a business-first mindset, ability and desire to use the law to solve complex business problems 
  • Experience liaising with outside vendors including outside counsel 
  • Effective communication and influencing skills with all levels of employees, especially executives
  • Strong critical thinking, a drive to learn, great collaboration skills and ability to coach others
  • Attention to detail
  • Subscription / SaaS (Software as A Service) based knowledge is preferred
Salary Description
$150,000 - $160,000
