Description

Assist and provide a range of legal and administrative support to Monroe’s Legal department and coordinate and manage interaction between Legal department, Monroe’s outside legal counsel and Monroe groups, including investor relations, operations, underwriting, and portfolio management. 


We are seeking a highly organized and detailed oriented individual to join our growing team who should be able to work independently and be able to handle pressure well and understand the importance of deadlines. They must also know how to relate to people in a variety of situations, be highly trustworthy, discreet, and use good judgment.


Primary Job Responsibilities:

  • Form US and foreign entities and draft organizational documents and resolutions. 
  • Assist with fund closings, including maintaining closing checklists, organizing closing documents and preparing side letter compendiums.
  • Prepare monthly logs of new and dissolved companies. Maintain Legal database and promptly respond to requests for legal documentation, charts and signatories. 
  • Assist with periodic regulatory filings.
  • Coordinate and respond to KYC (know your client) requests. 
  • Assist the investor relations team with investor related requests.
  • Provide transactional support to deal team (assist with due diligence, draft transfer documents, etc.) 
  • Assist with maintenance of Monroe policies  
  • Serve as a liaison between different in-house departments, outside counsel and various regulatory agencies. 
  • Coordinate and obtain appropriate signatures on various legal and deal documents. Serve as a notary. 
  • Serve as a secretary for corporate meetings. Draft corporate minutes
  • Assist in franchise SOS tax filings. 
  • Coordinate review of confidentiality agreements
  • Administrative support for the Legal department, including but not limited to, travel planning, expense reporting, meeting scheduling and ad-hoc requests.
  • Special projects upon request.


Requirements
  • Certificate in Paralegal Studies 
  • At least 3 years’ experience as a corporate paralegal in the corporate or private equity group of a private equity/asset management firm or a nationally recognized law firm. 
  • Highly organized self-starter with a sense of urgency.
  • Ability to multi-task, work independently, handle unanticipated situations effectively, and work well under pressure with tight deadlines.
  • Must communicate and build relationships effectively with all internal employees and external clients with tact and diplomacy. Ability to interface with numerous constituents at various levels.
  • Professional and effective written and oral communication skills with strong attention to detail.
  • Proficiency with the Microsoft Office products (Power Point, Adobe, Excel).
  • Must be able to keep company information and data confidential.
