Description

We are seeking a highly skilled and motivated Counsel specializing in fund formation to join our legal team. The successful candidate will play a key role in the development, structuring, and execution of fund formation initiatives. Responsibilities:

  • Draft, review, and negotiate fund-related documents, including partnership agreements, offering memoranda, investment management agreements, subscription agreements, investor side letters and other legal documents.
  • Assist with fund closings, including communicating with outside counsel/investor counsel/fund service providers, review of investor subscription agreements, and side letters/MFN process.
  • Assist with day-to-day fund maintenance, including fund document updates, amendments, investor questions and legal aspects of DDQs/RFPs.
  • Advise on relevant laws, rules, and regulations applicable to fund structuring and formation.
  • Review and negotiate other service agreements, vendor agreements, placement agreements and other similar agreements.
  • Stay current with relevant laws and regulations affecting fund formation and operations.
  • Address ad-hoc legal questions from, and collaborate with, internal teams, including investment team, investor relations, finance, operations, and compliance, to address legal considerations in a timely and cohesive manner.
  • Communicate legal complexities in a clear and concise manner to non-legal stakeholders.
  • Maintain accurate and organized records of fund formation documents and other legal documents/materials.
  • Ensure timely and proper regulatory filings with relevant authorities.
Requirements
  •  Juris Doctor (J.D.) degree from an accredited law school and active bar membership.
  • Minimum of four years of experience in fund formation, asset management or a related field desired.
  • In-depth knowledge of investment fund structures, regulations, and industry best practices.
  • Prior experience providing legal support to an asset manager and/or BDCs a plus. 
  • 1940 Act and/or Investment Advisers Act experience a plus. 
  • Prior experience in lending transactions a plus. 
  • Knowledge of various securities laws and regulations, including the 1933 Act, 1934 Act, including disclosures and periodic filings.
  • Strong drafting and negotiation skills, with a keen attention to detail.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Demonstrated ability to manage multiple projects simultaneously and meet deadlines.
