Job Summary

The Sr. Director, Financial Advisory serves as Priority Power's senior expert in project economics, investment valuation, and financial structuring. This role is the primary owner of financial modeling, capital structure strategy, and investment decision-making frameworks across the company's growing infrastructure portfolio — including solar, generation, substations, microgrids, battery storage, and hybrid systems. 


Reporting to the CFO, this position works closely with Sales, Development, Legal, and Executive Leadership to ensure every project is capital-efficient, competitively priced, and aligned with both customer needs and Priority Power's long-term financial strategy. 


The Sr. Director also serves as the primary liaison between Priority Power and owners on investment and deal decisions and provides validation of commissions ensuring accuracy and alignment with contract terms and deal structures.


This role is designed to establish clear ownership over modeling, structuring, and investment governance — and to position Priority Power to scale through disciplined capital deployment, consistent valuation practices, and high-quality commercial frameworks.


Key Responsibilities

Financial Modeling & Analysis

  • Build, own, and continuously improve advanced financial models for infrastructure projects including solar, generation, substations, microgrids, and hybrid systems.
  • Conduct scenario analysis, sensitivities, and risk-adjusted return assessments across varying contract structures, capital providers, and pricing mechanisms.
  • Translate technical, operational, and commercial inputs into clear economic implications for internal teams and customers.
  • Drive efficiency and standardization in modeling through AI tools, automation, and reusable frameworks.
  • Support customer-facing proposals with accurate, compelling economics and deal structures.

Investment Valuation & Transaction Structuring

  • Establish and maintain a rigorous investment valuation framework to evaluate and compare project and portfolio opportunities on a consistent basis.
  • Lead financial analysis on value-structured transactions, M&A activity, infrastructure deals, and platform-level investments.
  • Assess and validate deal economics for design-build-own-operate, IaaS, availability-based, and other long-term commercial arrangements.
  • Develop standardized financial packages, assumptions, and capital frameworks to support scalable and repeatable deal execution.
  • Maintain and continuously improve the company's end-to-end investment process, ensuring consistency, transparency, and rigor across all deal activity.

Capital Sourcing & Deal Execution

  • Identify, evaluate, and recommend optimal capital structures for each project or portfolio, including equity, debt, tax equity, lease structures, project finance, and private credit.
  • Validate and assist in the structuring of financing arrangements and tax equity transactions, coordinating with legal, tax, and capital market advisors.
  • Engage directly with financial institutions, investors, and lenders alongside the CCO and CFO.
  • Prepare and present investment packages and capital market materials that clearly articulate deal economics and risk-return profiles.

Commission & Revenue Validation

  • Validate commission calculations for sales and development transactions, ensuring accuracy and alignment with contract terms and deal structures.
  • Partner with Finance, HR, and Sales Operations to develop and maintain commission models and governance standards.

Investment Governance & Owner Relations

  • Serve as Priority Power's primary liaison with project owners and investment partners on investment decisions, deal approvals, and ongoing portfolio performance.
  • Translate market dynamics — cost of capital, credit conditions, regulatory incentives, technology trends — into actionable investment recommendations.
  • Ensure all commercial commitments and financial outcomes are fully aligned and properly governed.

Cross-Functional Leadership

  • Act as the central coordinating authority for modeling assumptions, financial standards, and capital-market intelligence across the organization.
  • Collaborate with Engineering and Execution teams to validate cost inputs, performance expectations, and operating assumptions.
  • Provide structuring guidance during customer negotiations, RFP responses, and term sheet development.
  • Work closely with Executive Leadership to support portfolio analytics, capital planning, and strategic decision-making.
  • Build and lead a future structuring team as business growth requires, ensuring the function scales efficiently and effectively.
Requirements

 Required

  • 10+ years of progressive experience in project finance, investment banking, infrastructure finance, energy finance, or a closely related field.
  • Deep expertise in financial modeling for infrastructure or energy assets (solar, storage, generation, microgrids, substations).
  • Demonstrated experience structuring and executing complex transactions, including M&A, project finance, tax equity, and value-structured deals.
  • Strong working knowledge of tax equity structures (partnership flip, sale-leaseback, inverted lease) and their application to energy projects.
  • Experience validating or managing commission structures in a project-based or deal-driven environment.
  • Proven ability to establish investment valuation frameworks and lead investment governance processes.
  • Experience serving as a direct interface with investors, lenders, or project owners in a deal execution or relationship management capacity.
  • Advanced proficiency in Excel-based financial modeling; familiarity with AI tools, automation, and modeling best practices.
  • Exceptional analytical, written, and verbal communication skills — able to translate complex financial concepts for executive, commercial, and client audiences.
  • Bachelor's degree in Finance, Economics, Accounting, Engineering, or a closely related field required.

Preferred

  • Experience at an investment bank, infrastructure fund, energy developer, or independent power producer.
  • Familiarity with ERCOT and broader U.S. energy market structures.
  • Experience leading or building a financial structuring or advisory function.
  • MBA, CFA, or advanced degree in a relevant discipline.
