Position Overview
The In-House Legal Counsel serves as a strategic and trusted advisor to the organization, providing comprehensive, business focused legal guidance to support operations, mitigate risk, and ensure compliance with applicable laws and regulations. This role works closely with senior leadership and cross-functional stakeholders to review contracts, assess legal exposure, structure and negotiate agreements, develop policies, and support strategic initiatives.
The In-House Counsel is responsible for managing a broad range of day-to-day legal matters while proactively identifying emerging risks and opportunities that may impact the company’s interests and objectives.
The ideal candidate is a proactive, solutions-oriented attorney with strong judgment, excellent communication skills, and the ability to balance legal requirements with business priorities in a fast-paced environment.
Duties and Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including customer, supply, manufacturing, vendor (e.g. distribution), and partnership contracts (GPOs, IDNs).
- Advise business units and executive leaders on commercial and legal risks while supporting commercial initiatives and growth strategies.
- Manage and oversee litigation matters, including coordination with and supervision of outside counsel.
- Design and deliver internal training on legal, compliance, and risk management principles (i.e., ethics, anti-bribery, and other topics).
- Contribute to the development and implementation of risk management policies that are consistent with market norms and comply with corporate mandates.
- Monitor and interpret changes and updates in applicable laws and regulations and provide timely guidance to management.
- Provide general legal support across the organization needed to meet business objectives that are typical of a corporate in-house legal department.
- Review and advise on regulatory items within the medical device space, ensuring alignment with applicable requirements, and advise leadership on legal risks.
- Collaborates with the Global General Counsel for company governance and other group related topics
- Draft board minutes and ensure follow-up of corporate governance and board action items
Competencies
- Strong knowledge and foundation in contract law, corporate governance, and regulatory compliance (eg FDA and in particular medical devices).
- Excellent drafting and negotiating skills and in particular with commercial agreements: supply, R&D, manufacturing, distribution etc.
- Ability to manage multiple conflicting priorities in a fast-paced, cross-functional environment
- Ability to succinctly and professionally provide sound legal advice and commercial solutions in a timely manner to all levels of the business
- Business-oriented mindset with a focus on enabling growth while managing risks
- Excellent written and verbal communication, negotiation, and stakeholder management skills.
- High level of professionalism, integrity, and discretion.
- Effective team player or leader depending on the project.
Requirements
- Juris Doctor (JD) from an accredited law school
- Active bar membership in at least one U.S. jurisdiction, preferably Texas
- A minimum of 7 to 8 years of experience in commercial transactional law, including drafting and negotiating both simple and complex contracts agreements
Prior in-house legal experience supporting medical device and/or pharmaceutical company preferred.
Work Environment
- Indoors, in an office environment, with temperature control.

Salary Range
$200,000 - $250,000 annually, bonus eligible
