Position Summary
The Corporate Attorney serves as in-house legal counsel responsible for supporting and protecting the company's legal interests across all aspects of its outdoor advertising operations. This role provides practical, business oriented legal advice on litigation, regulatory compliance, real estate and leasing, contracts, and corporate governance matters.
The corporate attorney partners closely with executive leadership and cross functional teams including Real Estate, Operations, Finance, and HR to proactively identify and mitigate risk, ensure compliance with applicable laws, and support the company's strategic growth and development initiatives.
This position includes direct supervisory responsibility for the Legal Manager, providing guidance, oversight, and development to ensure effective execution of litigation management, claims, and compliance functions.
Essential Job Functions and Tasks- These essential functions include, but are not limited to, the following. Additional essential functions may be identified and included by the hiring department.
- Provide day-to-day legal counsel to internal stakeholders on a wide range of issues, including commercial transactions, real estate, operations, and regulatory compliance.
- Oversee and manage all litigation and claims, including commercial disputes, landlord/lessor issues, personal injury/property damage claims, and regulatory enforcement matters.
- Develop litigation strategy in partnership with executive leadership and manage outside counsel, including engagement, oversight, and budget control.
- Review, approve, and manage legal invoices and ensure cost effective use of outside legal resources.
- Support discovery processes, including document identification, legal holds, and coordination with IT and business units.
- Advise on compliance with federal, state, and local regulations affecting billboard operations, including zoning, land use, permitting, and signage laws.
- Partner with Real Estate and Operations teams on lease negotiations, disputes, easements, property rights, and title/ownership matters.
- Review, draft, and negotiate a variety of contracts, including leases, vendor grievance, NDA's, acquisition documents, and service agreements.
- Support mergers, acquisitions, and development projects by conducting legal due diligence and advising on transaction risk.
- Maintaining corporate governance and entity compliance, including entity formation, registrations, annual filings, and oversight of registered agents.
- Assist in developing and implementing company policies, procedures, and compliance programs.
- Provide legal support in intellectual property matters, including policies, investigations, and compliance issues.
- Deliver timely updates and risk assessments to executive leadership regarding legal matters impacting the business.
- Conduct legal research and provide guidance on emerging legal risks and industry developments.
- Supervise, mentor, and evaluate the Legal Manager, including workload prioritization, performance management, and professional development.
- Delegate appropriate litigation, compliance, and administrative legal tasks to the Legal Manager while retaining overall responsibility for legal strategy and outcomes.
- Perform other related duties as assigned.
Required Education and Experience
Juris Doctor (JD) from an accredited law school.
Active license to practice law in at least one US jurisdiction (multi state licensure preferred).
Minimum of 6-10+ years of legal experience, preferably in-house or in a law firm supporting corporate, litigation, or real estate matters.
Experience with litigation management and working with outside counsel.
Experience in real estate, land use, construction, utilities, telecommunications, or outdoor advertising industries is strongly preferred.
Required Knowledge, Skills, and Abilities
Technical & Legal Knowledge:
- Strong knowledge of contract law, litigation processes, and regulatory compliance.
- Familiarity with real estate law, leasing, zoning and land use regulations.
- Understanding of corporate governance and entity management.
- Proficiency in Microsoft Office and legal research tools.
