POSITION SUMMARY:    

  • Responsible for the creation, negotiation, and enforcement of contracts with customers, clients, and consultants.  

PRINCIPAL DUTIES AND RESPONSIBILITIES:

  • Negotiates, administers, extends, terminates, and renegotiates all company contracts for the sale of company products and services domestically and internationally.
  • Creates Professional Services and Non-Disclosure Agreement, Memorandum of Understanding, Ownership Transfer Agreement and other contracts and documents as needed. 
  • Manages export consultants to assist in the development of export control protocol relatives to international sales of company products and services, including securing the appropriate export licenses for international technology transfers and product sales.  Part of the company’s export compliance initiative, as Export Compliance Manager, and point of contact for the internal Export Compliance Committee.  Responsible for oversight of any and all international sales of products and/or engineering services, including final approval of any and all international shipments.
  • Manages export consultants to assist in the development of import protocol relative to importation of foreign goods into either facility, including securing the appropriate bond.
  • Provides training on certain export matters to employees and assess and coordinate employee export training by export consultants or other third parties.
  • Well versed in the International Traffic in Arms Regulation (ITAR), Export Administration Regulations (EAR), INCOTERMS, Federal Acquisitions Regulations (FAR), and Defense Federal Acquisition Regulations (DFAR), as well as other appropriate state and federal regulations.
  • Develops, monitors, and upgrades company ITAR protocols.
  • Assists Sales and Marketing staff in formulating, coordinating, and reviewing sales proposals.
  • Works with engineering and finance staff to monitor contract performance to determine necessity for amendments or extensions of contracts, and contract compliance.
  • In coordination with project managers and senior management, approves or rejects requests for deviation from contract specifications and delivery schedules.
  • Arbitrates claims or complaints occurring in the performance of contracts.
  • Analyzes price proposals, financial reports, and other data to determine reasonableness of business relationships with potential clients.
  • Creates contract related processes and procedures for AS9100 compliance.
  • Works closely with outside counsel, senior management, and necessary personnel in patent matters, including preparation, assuring compliance with patent deadlines, and determining structure for royalty stream.
  • Keeps abreast of significant events and directions in contract law.
  • Supervises Contracts Specialist or Senior Contracts Specialist.
  • Other duties as assigned.
Requirements

EDUCATION AND EXPERIENCE: 

  • Education & Experience: B.A. Degree (science or engineering a plus) with a minimum of 8 years relevant experience or Law degree with a minimum of 5 years relevant experience. Government and international contracting experience preferred.  Experience working in an engineering environment preferred.
  • Abilities: Strong communication and negotiating skills are required, both oral and written.  Ability to analyze numerical information, work with spreadsheets, and project management software, and respond quickly to both staff and customer needs.
  • Other special job requirements: Ability to work independently, to collect and research data, to problem solve and develop alternative solutions, and to manage difficult client situations.

The compensation range posted represents the full salary range for the role. Actual pay will be determined based on a candidate’s experience, skills, and the position level ultimately offered.

Salary Description
$80,000 to $140,000 per year
