CloudHQ has state-of-the-art data center sites located in two Northern Virginia locations, as well as London, Frankfurt, Paris, Milan, and Sao Paulo, and we anticipate exponential growth over the next several years both in the US and abroad. 


What The Role Entails 

 

We are currently looking for a Legal Counsel (based in our Washington DC Office) to join our legal team. This position offers a unique opportunity to join CloudHQ and our rapidly expanding global hyperscale data center platform. This position is well-suited to a commercially minded lawyer who thrives in a fast-paced, entrepreneurial environment and enjoys working autonomously.


What You Will Get To Do


  •  Provide strategic and pragmatic, commercially focused legal guidance across multiple concurrent transactions including corporate transactions (M&A, joint ventures and debt financing) and the full lifecycle of data center development projects (land acquisition, construction, energy/power supply, zoning regulations, and regulatory compliance).
  • Support the negotiation and drafting of a range of commercial agreements (including development, construction, supplier contracts, and commercial leases), ensuring compliance with financing requirements.
  • Advise on federal and state regulatory matters, support entity formation and governance and compliance, proactively identify and mitigate legal risks and support business objectives. 
  • Collaborate extensively with cross-functional teams around the globe to ensure alignment and effective execution of projects.
  • Assist in the instruction and management of external counsel, ensuring cost-effective and high-quality legal support.
  • Contribute to the development and continuous improvement of legal processes, systems and tools, templates, and know-how.
  • Support broader legal initiatives as required, including cross-border projects.
  • Other legal and administrative work as needed.
Requirements

Qualifications 

  • Current member of a State Bar Association, with ability to practice in Washington DC.
  • Juris Doctor from an ABA accredited law school.

What You Bring To The Role

  • Minimum three (3) years of professional experience gained in the real estate or corporate team of a top-tier law firm, in-house at a commercial real estate developer, or similar environment. Commercial experience and/or in-house experience preferred but not essential.
  • Experience in the data center industry required (broader experience in real estate, construction, infrastructure, or energy sectors advantageous but not required). 
  • Real estate experience (including title and survey, conveyance documents including deeds and easements, declarations of covenants and property owners associations) and corporate experience (including formation of entities and governance) required. 
  • Experience working across multiple jurisdictions is an advantage.

  • Fluent in English (written and spoken). 
  • Strong, up-to-date technical legal knowledge.
  • Strong commercial acumen and entrepreneurial mindset, with the ability to balance legal risk and business needs.
  • Highly self-motivated with ability to work independently in a lean team environment under pressure, managing multiple matters simultaneously with a broad and fast-paced workload.
  • Highly organized, able to prioritize and coordinate tasks efficiently to meet deadlines.
  • Excellent drafting, negotiation, and communication skills.
  • Adaptable, proactive, and solution-oriented mindset.
  • Ability and willingness to be responsive outside traditional business hours.
  • Collaborative and collegial team player with excellent interpersonal skills, approachable and down-to-earth, who contributes positively to a high-performing, supportive team culture.
