Position Summary

Fermi is seeking an experienced Deputy General Counsel to lead and support complex financing and capital markets matters associated with Project Matador and the broader Fermi organization and portfolio.


The successful candidate will bring substantial experience in project finance, leveraged finance, corporate debt, and/or debt and equity capital markets. This attorney must be capable of independently leading sophisticated transactions, coordinating internal and external deal teams, and providing practical, commercially focused advice to business leaders.


Key Responsibilities

  • Lead project finance, corporate debt, and structured financing transactions supporting Project Matador.
  • Support debt and equity capital markets transactions, including registered offerings and private placements.
  • Draft, review, and negotiate credit agreements, indentures, security documents, intercreditor agreements, and related financing documentation.
  • Advise on SEC reporting obligations, public-company securities compliance, and applicable NASDAQ and London Stock Exchange listing requirements.
  • Manage lender and investor due diligence, transaction closings, closing deliverables, and post-closing covenant compliance.
  • Select, engage, and oversee outside counsel on financing and capital markets matters.
  • Assist Fermi and its portfolio companies with mergers and acquisitions, joint ventures, and real estate transactions as needed.
  • Provide legal support across the Fermi organization and portfolio on other matters as required.
  • Partner with executives and cross-functional teams to identify legal risks and deliver clear, practical, business-oriented guidance.
Requirements

Required Experience and Qualifications

  • Juris Doctor degree from an ABA-accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction; admission to the State Bar of Texas is preferred.
  • Seven to ten years of full-time legal experience, preferably with a large law firm, an in-house corporate legal department, or a combination of both.
  • Significant experience in project finance, leveraged finance, and/or debt and equity capital markets.
  • Experience representing borrowers, sponsors, issuers, underwriters, and/or lenders in sophisticated financing transactions.
  • Working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and applicable stock-exchange listing requirements.
  • Demonstrated ability to lead transactions independently and coordinate internal deal teams, external stakeholders, and outside counsel.
  • Exceptional written and verbal communication skills.
  • Sound judgment and the ability to translate complex legal issues into practical advice for non-lawyers.
  • Ability to perform effectively in a fast-paced, collaborative, and evolving business environment.

Preferred Qualifications

  • Experience with energy, power, infrastructure, or other large-scale project financings.
  • Admission to the State Bar of Texas.
  • Residence in the Dallas–Fort Worth metropolitan area and the ability to work from the office.
